Universal Terms of Service & Platform Covenant

By accessing, interacting with, or registering on any digital node operated by Kings Idea Connections and Outsourcing (also operating as Kings Global Fundings), you agree to be bound by this Universal Terms of Service.
This covenant governs all activities across The Kings Ark Enterprise Ecosystem, including Mingle™ Social, the B2B Marketplace, ARKGPT AI Nodes, WhatsUp Conferencing, and Kings Global Funding, accessible via www.kingsideaconnections.org, ark-i.kingsideaconnections.org, and ai.kingsideaconnections.org.
Company: Kings Idea Connections & Outsourcing (Kings Global Fundings). Jurisdiction: Republic of Guatemala. Governing law: the laws of the Republic of Guatemala, subject to the international commercial arbitration provisions below.
The Kings Ark and Mingle+ provide a dual digital marketplace, sovereign trade interface, and communication engine connecting buyers, sellers, shippers, carriers, funders, creators, talents, producers, government participants, and other independent users. We facilitate infrastructure and introductions; participants remain responsible for their offers, representations, contracts, taxes, compliance, and performance.
Ark Outsourcing Desk procurement may use Incoterms 2020 including FOB, CIF, EXW, and DAP. Physical handoffs may require certificates of origin, phytosanitary clearance, customs documentation, and independent laboratory assays such as SGS or Bureau Veritas. The applicable RFQ, contract, inspection record, and Incoterm control each transaction.
Our foundation is rooted in absolute transparency, ethical enterprise, and clean wealth creation operating under divine grace.
⚖️ Strict Platform Conduct Expectations:
- Zero Illegal Activity: Fraud, money laundering, sanctioned trade, predatory financing, counterfeit distribution, or unauthorized securities offerings are strictly prohibited.
- Identity Integrity: All operators, funders, and sellers must provide truthful, verifiable corporate and individual credentials upon request.
- Clean Wealth Generation: We facilitate legitimate commerce, innovation, and lawful value creation. Any attempt to utilize our serverless infrastructure for unlawful gain will result in immediate termination, asset freezing, and escalation to relevant sovereign authorities.
1. Seller Subscriptions & B2B Commission Rates
Sellers maintain active account subscriptions to list inventory and access high-speed edge features. Deal commissions are automatically calculated per closed transaction:
- Small Deals (< $100,000): 5% – 10% facilitation commission.
- Medium Deals ($100,001 – $500,000): 7.5% commission.
- Large Deals (> $500,000): 5.0% fixed enterprise commission.
2. "Activity Proceeds" Payout Classification (Non-Employment)
All creator payouts, tips, and transaction withdrawals issued by Kings Idea Connections and Outsourcing are legally classified as Independent Activity Proceeds.
Participation on Mingle™ Social or the Marketplace does NOT constitute an employment relationship, agency, or labor contract. Users are independent operators solely responsible for reporting income and remitting taxes in their own legal jurisdiction.
3. Wallet ledgers, revenue share and settlement
Creator gifts, micro-tips, subscription payouts, and digital service earnings are credited at a standard 70% recipient / 30% platform infrastructure distribution. The 30% covers server bandwidth, private Blob storage, Gemini/ARKGPT compute, system security, payment operations, and administration. Third-party processor fees, currency conversion, reserves, chargebacks, and payment-rail charges are accounted for at funding or net withdrawal settlement as disclosed at checkout.
Wallet balances are denominated in USD. Withdrawals are requested to verified PayPal accounts or linked enterprise rails, normally within 24–72 hours and subject to compliance reviews, anti-fraud reserves, provider eligibility, and lawful holds.
4. In-App Points & Utility Tokens
Purchasing virtual coins or platform points grants a consumable digital utility license for in-app media tipping, reel boosting, and AI trade tools. Points carry zero equity or dividend guarantees and are non-refundable once loaded into an active account balance.
Brands across The Kings Ark ecosystem are integrated with trained ARKGPT AI assistants to automate B2B deal-pairing, instant quoting, catalog search, and 24/7 client communication.
- Catalog Context: ARKGPT models operate directly on brand-supplied product specs and verified policies.
- Data Privacy: Conversation data is encrypted and utilized exclusively to deliver intelligent trade responses and improve operational accuracy.
- Platform Role: All funding terms, rates, and contracts are negotiated directly between independent seekers and funders.
- Fee Structure: 2.5% platform fee for seekers upon successful funding; 1.5% facilitation fee for funders. No upfront listing fees.
- Risk Disclosure: All capital investments carry risk. Funders and seekers must perform independent due diligence.
We reserve the right to suspend or terminate any account immediately, without prior notice, for violations of this covenant, fraudulent misrepresentation, or conduct harmful to the ecosystem.
The parties will attempt good-faith executive escalation first. Any unresolved international commercial dispute will be referred to final and binding arbitration under the UNCITRAL Arbitration Rules, seated in Guatemala unless the parties agree otherwise, with the language and tribunal determined in the arbitration agreement. Nothing limits urgent interim relief or mandatory rights that cannot lawfully be waived.
Commercial or funding disputes must first be escalated to our compliance team at support@kingsideaconnections.org. Platform administrative decisions regarding policy violations are final.
Gift allocation: 30% of each eligible gift is retained for platform administration, payment processing, infrastructure, fraud controls, and related operational costs. The intended recipient receives 70% as a wallet credit, subject to verification, reversals, provider holds, chargebacks, and withdrawal rules.
PayPal, Google Pay, banks, and other processors may impose their own fees, conversion costs, reserves, delays, chargebacks, and identity checks. Users are responsible for complying with applicable import/export, sanctions, consumer, labor, AML, and tax laws and for declaring earnings in their jurisdictions.
We provide digital infrastructure and marketplace facilitation; we are not a bank, tax adviser, employer, carrier, government authority, or guarantor. Applicable Terms, Privacy Policy, Marketplace Rules, payment disclosures, and provider terms must be reviewed and accepted before gifting, subscribing, posting monetized content, listing, confirming a trade, using AI matching, or withdrawing.
